Company valuation becomes increasingly important in today’s environment where auditors as well as the CSSF become ever more demanding. Therefore, directors should understand at least basic principles, and be able to correctly document and keep track of valuation parameters across investment projects and across time.
Purpose of the course
Without getting too technical, allow company directors with a non-financial background to:
  • understand company valuation drivers and principles
  • ask the right questions when valuations are presented to them, either during M&A buy- or sell transactions, or when asked to sign off on the company’s annual accounts (assuming the company owns unlisted equity investments).
Course content
Company valuations derived from the balance sheet
  • Which is relevant information we can find on the balance sheet?
  • How can this information be used to assess value?
  • What are key questions, and where are the pitfalls?

Company valuations derived from the income statement
  • What are the key valuation multiples to use?
  • What are their strengths and weaknesses?
  • What are key questions, and where are the pitfalls?

Company valuations derived from the cash flow statement
  • What is a cash flow statement, and what can be read from it?
  • What is free cash flow and how is it calculated?
  • Where are the pitfalls?
  • What are strengths and weaknesses to valuation methods presented earlier?

Assessing fair value
  • The “football field”
  • Discounts and premiums for liquidity, size and control
  • Special securities (CPECs, convertible bonds, A-shares vs. B-shares etc.) or company types (banks, insurance companies, etc.)
