Course outline
This course will explore the role and importance of a non-executive director (NED) on the Board and identify those behaviors that allow for an effective contribution to the Board and the success of the organization.
This program will enable participants to:

  • Better understand the role and benefits of the NED within the board and the organization
  • Explore the key responsibilities of the NED and how to satisfy them
  • Identify the key qualities and skills required of an effective NED
  • Understand stakeholder and board expectations of the NED role
  • Strengthen the ability of the NED to positively influence boardroom proceedings
The program intends to be highly interactive. It includes a one-day course and, in addition, a separate and optional half day workshop on NED in governance the following day.

Day 1
  • Identity crisis - Stakeholder expectations of a NED
  • Role and responsibilities of the NED in context
  • Characteristics of an effective board and the effective NED
  • Boardroom dynamics - appreciating the NED unique role

Day 2
Half day workshop on the NED role in the face of boardroom malfunction
The objective of the workshop is to test, debate and apply the learnings from the preceding day to a number of scenarios inspired by the many real-life examples provided to us over recent years. Confronted by dilemmas and choices, participants will be required to seek out the best option available to the board, and determine their own contribution to that board as a non-executive director.
